These Terms of Service ("Terms") govern the use of the Affiliate Intelligence Ltd (t/a “affiliate.ai”) platform ("Platform") provided by Affiliate Intelligence, located at 13 Barbauld Road, United Kingdom ("Company" or "We") to its users ("Users" or "You"). By accessing or using the Platform, You agree to be bound by these Terms. If You do not agree to these Terms, You may not use the Platform.
1.1. The Platform is an affiliate marketing solution that facilitates the tracking, management, and optimization of affiliate marketing activities.
1.2. The Platform provides various features and functionalities to Users, including but not limited to tracking affiliate links, generating reports, managing affiliate partnerships, and accessing promotional materials.
2.1. By using the Platform, You represent and warrant that You are at least 18 years old and have the legal capacity to enter into these Terms.
2.2. You agree to provide accurate, current, and complete information during the registration process and to keep Your account information updated.
2.3. You are responsible for maintaining the security and confidentiality of Your account credentials and for all activities that occur under Your account. You must promptly notify the Company of any unauthorized use or suspected breach of security.
2.4. You agree not to use the Platform for any unlawful, fraudulent, or unauthorized purposes. You shall comply with all applicable laws, regulations, and industry standards in connection with Your use of the Platform.
2.5. You are solely responsible for the content and materials You upload, share, or promote through the Platform. You shall not upload, post, or transmit any content that is illegal, infringing, defamatory, obscene, or otherwise objectionable.
2.6. You acknowledge that the Company may monitor Your use of the Platform to ensure compliance with these Terms and to maintain the integrity and performance of the Platform.
3.1. The Platform and all related intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, and patents, are owned by the Company or its licensors. You agree not to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from or through the Platform without the prior written consent of the Company.
3.2. You retain ownership of the content and materials You upload or share through the Platform. By uploading or sharing such content, You grant the Company a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, prepare derivative works of, display, and perform such content solely for the purpose of providing and promoting the Platform.
4.1. The Company respects Your privacy and handles Your personal data in accordance with its Privacy Policy. By using the Platform, You consent to the collection, use, and disclosure of Your personal data as described in the Privacy Policy.
5.1. The Platform is provided on an "as is" and "as available" basis. The Company does not warrant that the Platform will be error-free, uninterrupted, secure, or meet Your requirements.
5.2. To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages, or for any loss of profits or revenue, arising out of or in connection with Your use of the Platform.
5.3. The Company's total liability to You for any claims arising under or in connection with these Terms or Your use of the Platform shall be limited to the amount paid byYou to the Company for the use of the Platform during the six (6) months preceding the claim.
6.1. Either party may terminate these Terms at any time by providing written notice to the other party. Upon termination, Your access to the Platform will be suspended, and You must cease all use of the Platform.
6.2. The Company may suspend or terminate Your access to the Platform immediately, without notice, if You breach these Terms or if the Company has reasonable grounds to believe that Your use of the Platform may cause harm to the Company or its other Users.
7.1. These Terms constitute the entire agreement between You and the Company regarding Your use of the Platform and supersede any prior agreements or understandings.
7.2. These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of laws principles.
7.3. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the United Kingdom.
7.4. If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed from the Terms, and the remaining provisions shall remain in full force and effect.
7.5. The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
7.6. You may not assign or transfer any of Your rights or obligations under these Terms without the prior written consent of the Company. The Company may freely assign or transfer these Terms without restriction.
By using the Affiliate Intelligence platform, You acknowledge that You have read, understood, and agree to be bound by these Terms of Service. If You do not agree to these Terms, You may not use the Platform.
